The rules and guidelines for using Resurv.
By creating an account, accessing, or using our booking platform and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business or entity, you represent that you have authority to bind that entity to these Terms.
Resurv provides a cloud-based appointment booking and business management platform for service-based businesses ("Partners"). The Service includes online booking, client management, calendar synchronization, staff scheduling, analytics, Philippine holiday sync, and related features. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3.1 You must provide accurate, current, and complete information during registration. Each business entity may maintain one account. Your account is non-transferable and may not be sold, shared, or accessed by unauthorized third parties.
3.2 You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must immediately notify us of any unauthorized access or security breach.
3.3 We may immediately suspend or terminate your account if we determine you have breached these Terms, including allowing unauthorized third-party access, committing fraud, or falsifying information.
4.1 Subscription Tiers. We offer three subscription tiers with varying features, staff limits, and location limits:

Current pricing is available on our Pricing page. Features and limits for each tier are subject to change with 30 days' notice.
4.2 Billing Cycle. Subscriptions are billed either monthly or annually in advance. Annual subscriptions are charged for 10 months of service while you receive 12 months of access (two months free). You select your billing frequency during signup or plan changes.
4.3 Auto-Renewal. All subscriptions automatically renew at the end of each billing period unless canceled. Monthly plans renew monthly; annual plans renew annually. You will be charged the then-current subscription fee upon renewal.
4.4 Payment Methods. You must provide a valid payment method (credit card or approved alternative). By providing payment information, you authorize us to charge all fees to that method. You are responsible for all applicable taxes, currency conversion fees, and bank charges.
4.5 Failed Payments. If payment fails, we will attempt to retry. If payment remains unresolved after 10 days, we may suspend access to the Service. Accounts suspended for 30 days due to non-payment may be terminated.
4.6 Price Changes. We may change subscription fees with 30 days' prior written notice. Your continued use after the notice period constitutes acceptance of the new fees. If you do not agree, your sole recourse is to cancel before the change takes effect.
4.7 Upgrades and Downgrades. You may upgrade your tier at any time; the new rate takes effect immediately with prorated billing. Downgrades take effect at the start of the next billing period.
5.1 Cancellation by You. You may cancel your subscription at any time through your account settings or by contacting support@resurv.net. Cancellation takes effect at the end of the current billing period. You will retain access until the period ends.
5.2 Termination by Us. We may terminate or suspend your account immediately for: (a) non-payment unresolved after 30 days; (b) material breach of these Terms; (c) fraudulent activity; (d) use that harms our platform, other users, or third parties; or (e) legal requirement.
5.3 Effect of Termination. Upon termination, your access ceases immediately. We may retain your data for up to 30 days after termination to allow export, after which it may be permanently deleted. We are not liable for any data loss after termination.
Please refer to our separate Refund Policy. Generally, subscription fees are non-refundable except where required by law or at our sole discretion for annual subscriptions canceled within 14 days of initial purchase.
You agree to use the Service only for lawful business purposes and in compliance with all applicable laws.
Prohibited Activities. You may not:

8.1 We own all rights to the Service, including software, designs, trademarks, and content. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.
8.2 You retain ownership of your business data, client lists, and content uploaded to the platform. You grant us a license to use this data solely to provide and improve the Service.
8.3 The Service may display "Powered by Resurv" branding. Partners may not remove or alter this branding without written consent.
Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your data. For Partners in jurisdictions requiring data processing agreements, a separate DPA may apply.
10.1 THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not guarantee uninterrupted, error-free, or secure service.
10.2 To the maximum extent permitted by law, our total liability for any claims arising from these Terms or the Service is limited to the total amount you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or lost profit damages.
10.3 We are not responsible for: (a) acts or omissions of payment processors; (b) third-party integrations; (c) your clients' conduct; or (d) events beyond our reasonable control.
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.
We may update these Terms with 30 days' notice. Continued use after changes constitutes acceptance. If you do not agree, you must cancel your subscription before the changes take effect.
These Terms are governed by the laws of the Republic of the Philippines. Any disputes will be resolved through binding arbitration in Metro Manila, except where prohibited by law.

How we collect, use, and protect your information.
This Privacy Policy explains how Resurv Solutions ("we," "us," or "our") collects, uses, stores, and protects personal information when you use our booking platform. It applies to both business users ("Partners") and their clients ("End Clients").
2.1 Partner Information. When you register, we collect business name, contact details, payment information, staff details, and account credentials.
2.2 End Client Information. When clients book through your booking page, we collect names, contact details, appointment preferences, and any information provided through consultation forms.
2.3 Usage Data. We collect technical data including IP addresses, device information, browser type, access times, and feature usage to operate and improve the Service.
2.4 Sensitive Data. Partners may configure consultation forms requesting health or other sensitive information. We process this only as instructed by the Partner and do not use it for our own purposes.
3.1 For Partners: To provide account management, process payments, enable booking functionality, send notifications, provide customer support, and offer personalized recommendations.
3.2 For End Clients: To facilitate bookings, send appointment reminders, enable communication with Partners, and manage appointment history.
3.3 Business Operations: To maintain platform security, prevent fraud, comply with legal obligations, and improve our services.
3.4 Marketing: With consent, we may send promotional materials. Partners and End Clients may opt out at any time via unsubscribe links.
4.1 We share End Client booking details with the relevant Partner to fulfill appointments.
4.2 We use third-party payment processors, cloud hosting providers, and analytics services. These providers are contractually bound to protect your data.
4.3 We do not sell personal data to third parties for marketing purposes.
4.4 We may disclose data if required by law, court order, or to protect our rights and safety.
We implement industry-standard security measures including encryption, access controls, and regular security assessments. However, no internet transmission is completely secure, and you transmit data at your own risk.
6.1 We retain Partner data for the duration of the subscription plus 30 days after termination, unless legal obligations require longer retention.
6.2 End Client data is retained as long as the Partner maintains an active account or as required by the Partner's data retention settings.
Your data may be transferred to and processed in countries other than your own. We ensure appropriate safeguards are in place for such transfers.
Depending on your jurisdiction, you may have rights to access, correct, delete, or restrict processing of your personal data. Partners may manage their data through account settings. End Clients should contact the relevant Partner for data requests.

The Service is not intended for individuals under 16. We do not knowingly collect data from children.
We may update this Privacy Policy with 30 days' notice. Significant changes will be communicated via email or platform notification.

Our approach to refunds and billing disputes.
Subscription fees are generally non-refundable. We operate on a prepaid subscription model where payment grants access for the selected billing period. However, we recognize exceptions as outlined below.
2.1 Annual Subscription Cooling-Off. If you purchase an annual subscription and cancel within 14 days of the initial purchase, you may request a full refund. This applies only to first-time subscribers and first annual purchases. This cooling-off period is in addition to your 14-day free trial.
2.2 Service Unavailability. If the Service is completely unavailable for more than 48 consecutive hours due to our infrastructure failure (excluding scheduled maintenance, force majeure, or third-party failures), you may request a prorated credit for the downtime period.
2.3 Billing Errors. If you were incorrectly charged due to our system error (e.g., double billing, wrong tier charged), we will refund the overcharged amount upon verification.
2.4 Legal Requirements. We will issue refunds where required by applicable consumer protection laws in your jurisdiction.
4.1 Submit refund requests via support@resurv.net within the applicable timeframe.
4.2 Include your account email, billing date, amount, and reason for the request.
4.3 We review requests within 10 business days. Approved refunds are processed to the original payment method within 14 business days.
4.4 We reserve the right to offer account credits in lieu of cash refunds at our discretion.
If you initiate a chargeback without first contacting us, we may suspend your account pending resolution. We reserve the right to dispute fraudulent chargebacks and recover associated fees.
We may update this Refund Policy with 30 days' notice. Changes do not affect purchases made before the effective date.
